PLUME SOCIETY™ MEMBERSHIP, BRAND STANDARDS & MEMBER BADGE LICENSE AGREEMENT

Membership in the PLUME Society™ is a privilege extended by PLUME™ to individuals and businesses that share PLUME’s commitment to integrity, professionalism, creativity, responsible business practices, and respect within the maker community. Membership is discretionary and does not create any ownership interest, partnership, joint venture, agency relationship, franchise, employment relationship, or other legal affiliation between PLUME™ and a member. As a condition of becoming and remaining a member of the PLUME Society™, each member agrees to comply with the standards, conditions, restrictions, and license terms contained in this Agreement.

Members agree to conduct their businesses with honesty, integrity, and professionalism; to treat customers, fellow makers, suppliers, competitors, businesses, and members of the creative community with respect; and to create, market, and promote their products and businesses in a manner consistent with the standards and reputation associated with PLUME™ and the PLUME Society™. Members shall refrain from hate speech, unlawful discrimination, harassment, bullying, threats, intimidation, abusive conduct, sexually explicit or pornographic content used in connection with the PLUME Society™ Member Badge, unlawful or fraudulent activity, deceptive or materially misleading business practices, and other conduct that PLUME™ reasonably determines is materially inconsistent with the standards or reputation of the PLUME Society™.

Members agree to respect the intellectual property rights of PLUME™ and of third parties, including trademarks, copyrights, patents, trade dress, designs, artwork, proprietary materials, and other protected creative works. Members shall not knowingly counterfeit, materially copy, misappropriate, falsely represent, or improperly use the branding, products, creative works, or intellectual property of another person or business. Members shall also refrain from knowingly making or publishing false statements of fact, malicious misrepresentations, defamatory statements, or intentionally deceptive communications concerning PLUME™, the PLUME Society™, its members, customers, suppliers, competitors, or other persons or businesses.

The names and marks PLUME™, THE ART OF ATMOSPHERE™, the PLUME “P” logo, the PLUME Society™ name, the PLUME Society™ Member Badge, and associated designs, artwork, logos, brand elements, and other proprietary materials are and shall remain the intellectual property of their respective owner and are used and controlled by PLUME™. PLUME™ has sought or may seek federal trademark registration for certain PLUME™ marks, logos, slogans, and the official PLUME Society™ Member Badge. Nothing contained in this Agreement or arising from membership in the PLUME Society™ transfers to a member any ownership, title, goodwill, or other proprietary interest in any PLUME trademark, logo, badge, design, artwork, or other intellectual property. Any goodwill arising from a member’s authorized use of a PLUME mark or the PLUME Society™ Member Badge shall inure solely to the benefit of PLUME and the applicable owner of the mark.

While a member remains in good standing, PLUME™ grants that member a limited, personal, non-exclusive, non-transferable, non-assignable, non-sublicensable, and revocable license to display the official PLUME Society™ Member Badge solely for the purpose of truthfully identifying the member or member’s business as a current member of the PLUME Society™. Authorized use may include the member’s business website, social media accounts, and other promotional or marketing materials expressly permitted by PLUME™. This license grants permission to use the badge only and does not constitute an endorsement, certification, guarantee, sponsorship, partnership, agency relationship, or approval by PLUME™ of the member’s products, services, representations, business practices, or conduct.

The PLUME Society™ Member Badge may not be altered, distorted, recolored, recreated, incorporated into another logo, sold, assigned, transferred, sublicensed, loaned, shared, provided to another person or business, or otherwise used except as expressly authorized by PLUME™. A member may not use the badge or any PLUME intellectual property in a manner that falsely suggests that PLUME™ manufactures, approves, certifies, guarantees, sponsors, or endorses the member’s products or business. PLUME™ may issue additional brand-use requirements or specifications from time to time, and continued use of the Member Badge shall be subject to those requirements.

Membership in the PLUME Society™ and the accompanying license to use the PLUME Society™ Member Badge are privileges and not vested rights. To the fullest extent permitted by applicable law, PLUME™ reserves the right, in its sole and reasonable discretion, to suspend, restrict, decline to renew, or terminate membership and to suspend or revoke the Member Badge license when PLUME™ determines that a member has violated this Agreement, misused PLUME intellectual property, ceased to be a member in good standing, or engaged in conduct or business practices that PLUME™ reasonably determines are materially detrimental to the reputation, goodwill, integrity, legitimate business interests, or intellectual property rights of PLUME™ or the PLUME Society™. PLUME™ is not required to provide a warning or opportunity to cure before taking action where PLUME™ reasonably determines that immediate action is necessary to protect its intellectual property, customers, members, reputation, or legitimate business interests.

The license to use the PLUME Society™ Member Badge automatically terminates when PLUME Society™ membership terminates, expires, is revoked, or is otherwise discontinued. Upon termination or written notice of revocation, the former member shall immediately cease representing itself as a current PLUME Society™ member and shall promptly remove and discontinue all use of the PLUME Society™ Member Badge and other membership-only PLUME™ materials from websites, social media accounts, advertisements, digital materials, packaging, printed materials, signage, marketing materials, and other media within the former member’s possession or control. Continued display, reproduction, distribution, or use of the Member Badge following termination or revocation is unauthorized and constitutes a violation of this Agreement.

A member acknowledges that unauthorized use, reproduction, alteration, distribution, transfer, or continued use of the PLUME Society™ Member Badge or other PLUME intellectual property may cause harm to PLUME™ that may be difficult to adequately remedy through monetary damages alone. Accordingly, to the extent permitted by applicable law, PLUME™ may seek temporary, preliminary, or permanent injunctive relief, specific performance, or other equitable relief to prevent or stop actual or threatened unauthorized use of its intellectual property or violation of the badge-license provisions of this Agreement, in addition to any other remedies available at law or in equity. Nothing in this Agreement limits PLUME’s right to pursue damages or other relief available under applicable trademark, copyright, unfair competition, contract, or other applicable law.

If a member violates this Agreement, PLUME™ reserves all rights and remedies available under applicable law, which may include suspension or termination of membership, immediate revocation of the Member Badge license, demands for removal or cessation of unauthorized uses, recovery of damages where legally available, and equitable relief. All rights and remedies provided by this Agreement are cumulative and are not intended to exclude any rights or remedies otherwise available to PLUME™ under applicable law. Any failure or delay by PLUME™ to enforce a provision of this Agreement on one occasion shall not constitute a waiver of PLUME’s right to enforce that provision or any other provision in the future.

This Agreement and any dispute concerning membership in the PLUME Society™, the Member Badge license, or the interpretation or enforcement of these terms shall be governed by and construed in accordance with the laws of the State of Louisiana, without regard to conflict-of-law principles, except to the extent federal law governs a particular claim. To the extent permitted by applicable law, any legal proceeding arising from or relating to this Agreement shall be brought in a state or federal court of competent jurisdiction located in Louisiana, and each member accepting this Agreement consents to the personal jurisdiction of such courts.

PLUME™ may modify these Brand Standards, membership requirements, or Member Badge license terms from time to time when reasonably necessary to protect or administer the PLUME Society™, its members, or PLUME intellectual property. Material changes may be communicated electronically or presented upon a member’s next access to the PLUME Society™ member area. When PLUME™ requires renewed acceptance of materially revised terms, continued badge authorization may be conditioned upon that acceptance.

If any provision of this Agreement is determined by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision shall be enforced to the maximum extent permitted by law or, when necessary, severed, and the remaining provisions shall remain in full force and effect. Provisions concerning ownership of intellectual property, restrictions on use of PLUME marks and the Member Badge, termination of the license, removal obligations, remedies, and any other provisions that by their nature should continue following termination shall survive termination of membership.

By checking the acceptance box and selecting “Accept & Continue,” I affirmatively acknowledge that I have read, understand, and agree to be bound by the PLUME Society™ Membership, Brand Standards & Member Badge License Agreement. I understand that PLUME Society™ membership does not give me ownership of the PLUME Society™ Member Badge or any PLUME™ intellectual property; that my authorization to use the Member Badge is limited, non-transferable, and revocable; that continued authorization is conditioned upon my compliance with this Agreement and continued membership in good standing; and that I must immediately discontinue representing myself as a member and discontinue use of the Member Badge if my membership or license is terminated or revoked.
